A Message for NCAPA’s Voting Members:

It is time for the annual election of Directors and Officers for the National Capital Area Paralegal Association (NCAPA). As a Voting Member of NCAPA, the Nominating & Elections Committee would like to invite you to nominate yourself and/or any fellow voting member or members for positions on the 2019 NCAPA Board of Directors.

All that you are required to do is email the name(s) of your nominee(s), the position(s) you are nominating them for, and a brief description on why you believe the nominee(s) would make a good candidate and send this information to [email protected] by NLT 5:00 p.m. on Friday, August 31, 2018. Elections will take place at the Annual Meeting of the Members and Awards Dinner on November 10, 2018.

Board of Directors (Two-Year Term) (9 Open Positions)
General Powers and Duties: The Board of Directors shall be the governing body of the Association. The Board shall 1) manage, control, and direct the affairs and property of the Association; and 2) have, and may exercise, all powers specified in the Articles of Incorporation and the District of Columbia Nonprofit Corporation Act, as is necessary to carry out the purposes of the Association, except as those powers are limited by rights vesting exclusively in the Voting Membership.

Eligibility: Voting Members of the Association who have been Members of the Association or another association affiliated with the Association for at least one (1) year when nominated are eligible to serve as a Director provided that they have fifteen (15) hours of service or participation in Association events during the preceding twelve (12) months.

Duties: The duties of the Officers of the Association shall be as follows:

President. The President shall preside over all meetings and have general and active management of the business of the Association. The President shall coordinate the preparation of agendas for meetings, ascertain all business, be apprised of all items, guide all actions to their proper conclusion, and see that all orders and resolutions of the Board are carried into effect. The President must have served one (1) year as a member of the Board to be eligible to serve.

President-Elect. The President-Elect shall assist the President in the President's duties. In the absence, disability, resignation or removal of the President, the President-Elect shall perform and exercise the powers of the President, and shall perform such other duties as shall from time to time be delegated by the Board. The President–Elect must have served one (1) year as a member of the Board to be eligible to serve.

Secretary. The minutes of Board meetings shall be taken by the Secretary. In the Secretary's absence, the President shall designate another member of the Board to take minutes. In addition, the Secretary shall prepare accurate minutes of all meetings of the Association's Membership, and shall act as custodian of all records, documents, and papers of the Association. The Secretary may from time to time be required to handle correspondence between the Board and persons outside the Association and all such other duties as the Board or the President shall designate.

Treasurer. The Treasurer shall oversee and report on the financial activities of the Association, and may delegate authority to a bonded, licensed bookkeeper who will be retained with the approval of the Board including, but not limited to: 1) ensuring that all monies and other valuable effects of the Association are deposited as designated by the Board; 2) disbursing the funds of the Association as directed by the Board and within the policies and procedures established; 3) maintaining or directing an outside service to maintain full and accurate records of all Association accounts or other valuable effects; and 4) rendering to the President and Directors, at regular meetings of the Board or whenever else required, an accounting of all transactions and the financial condition of the Association.
